Terms of Use

Welcome to the AgentCensus. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and agentcensus ("agentcensus," "we," "us," or "our") concerning your access to and use of the agentcensus platform, website, APIs, tools, and associated services (collectively, the "Service"). By using our Services, you agree to these Terms.

Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws and any other documentation, guidelines, or policies we make available to you.

1. Use of Services

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services. Certain features, including claiming ownership of an agent or MCP, require you to create an account or authenticate via a supported third-party identity provider (e.g., GitHub). You agree to provide accurate, current, and complete registration information of you, or another individual or organization that you act on behalf of. In that event, "you" and "your" refer collectively to you and that individual or organization that you act on behalf of.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify agentcensus of any unauthorized use of your account. By accessing the Service, you represent and warrant that you possess full legal capacity to create an account and enter into these Terms.

2. Permitted and Prohibited Use

Subject to your compliance with these Terms, you may:

• View, search and cite the public census, agent and domain pages of the Service;
• Access the Service automatically or programmatically through the application programming interfaces, agent interfaces (including the Service's own agent over MCP and A2A) and dataset downloads that we document at /docs (the "Documented Interfaces"), within the request allowances, rate limits and entitlements that apply to you and, where the documentation requires one, using an API key issued to you or to the organization you act on behalf of. The allowances and entitlements that apply to you are those stated in the documentation, including /account/benefits, at the time of your request; and
• Use, copy, share and adapt the downloadable aggregate census dataset (the "Dataset") under the Creative Commons Attribution 4.0 International licence ("CC BY 4.0") stated in the citation file carried by each snapshot. Your use of the Dataset is governed by that licence, and nothing in these Terms limits any right it grants.

You may use what you receive through the Documented Interfaces for your own purposes, or those of the organization you act on behalf of, including research, security work and publication, subject to the prohibitions below.

You agree not to engage in, attempt, or facilitate, directly or indirectly, any of the following prohibited activities:

• Claiming or attempting to claim ownership or control of an agent, MCP server, or project that you do not own or are not authorized to represent.
• Artificially inflating, deflating, tampering with trust scores, reputation indicators, or census metrics or data.
• Submitting, linking, or uploading agents, manifests, or code containing viruses, malware, backdoors, trojans, worms, or other malicious or destructive components.
• Interfering with, disrupting, or imposing an unreasonable burden on the infrastructure, servers, networks, or operational integrity of the Service.
• Selling, reselling, sublicensing or otherwise providing access to the Service, to an API key, or to features available only to an organization (such as observation history) to anyone outside your organization, or publishing a bulk copy or mirror of records obtained from the Service, except as a separate written agreement with us allows. This does not restrict quoting or citing individual records or figures with attribution, or any use of the Dataset that CC BY 4.0 permits.
• Decompiling, reverse engineering, disassembling, or attempting to derive the source code or proprietary algorithms of the Service.
• Extracting data from the Service by automated means other than through the Documented Interfaces, including by scraping, crawling or harvesting the Service's web pages.
• Exceeding, evading or circumventing an allowance, rate limit or entitlement, including by rotating network addresses, distributing requests across accounts or organizations, or using an API key, session or credential that was not issued to you or to the organization you act on behalf of.
• Using the Service, or anything obtained from it, to compile, rank, sort or filter third-party agents or domains by a trust score, risk factor or failed conformance check, or otherwise to select targets for attack — a capability the Service withholds on purpose. This does not restrict viewing that information about an individual agent or domain, or about the domains your organization holds a verified claim on.
• Attempting to obtain, reconstruct or re-identify information the Service withholds from you, including records about a domain that has opted out under the crawler policy and another organization's private records.
• Using the Services in a way that infringes, misappropriates or violates anyone's rights.
• Using the Service in violation of any applicable federal, state, local, or international law, rule, or regulation, including intellectual property and export control regulations.

3. Termination, Suspension and Discontinuation of Services

You may terminate these Terms at any time by ceasing all use of the Service and requesting the deletion of your account. We reserve the right, in our sole discretion, to suspend, terminate, or restrict your access to all or part of the Service, remove or reset your claimed agents or MCPs, or delete your account at any time, for any reason or no reason, without notice, explanation, or liability.

We may modify, update, suspend, or permanently discontinue the Service (or any feature thereof) at any time without prior notice or liability to you.

4. Intellectual Property Rights

You may provide information, data, documentation, agent manifests, configurations, telemetry and feedback to the Service ("Input"). You represent and warrant that you have all rights, licenses and permissions needed to provide Input to our Services.

Between you and us, and to the extent permitted by applicable law, you retain any intellectual property rights you hold in your Input. agentcensus and its licensors retain all right, title, and interest in and to the Service.

By submitting, posting, or transmitting Input to the Service, you grant agentcensus and its affiliates a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to your Input to provide, maintain, develop and improve our Services.

We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (17 U.S.C. § 512) to:

5. Disclaimer and Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS." EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ACCEPT AND AGREE THAT ANY USE OF OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUR SERVICE AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

6. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless agentcensus, its affiliates and our personnel from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or related to your use of the Services, Input or any violation of these Terms.

7. Dispute Resolution

YOU AND AGENTCENSUS AGREE TO THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION AND JURY WAIVER PROVISIONS:

Unless prohibited by applicable law, You and agentcensus agree that any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively through final and binding arbitration administered by the National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures and/or Supplemental Rules for Mass Arbitration Filings, as applicable (available here).

YOU AND AGENTCENSUS AGREE THAT ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE STRICTLY PROHIBITED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND AGENTCENSUS KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICE.

8. Governing Law and Venue

These Terms and any Dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to its conflict of laws principles. To the extent court proceedings are permitted, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County or San Francisco, California.

9. General Terms

agentcensus may update or revise these Terms periodically. Changes become effective immediately upon posting to the Service. Your continued use of the Service following the posting of updated Terms constitutes your binding acceptance of the changes.

These Terms constitute the entire and exclusive agreement between you and agentcensus regarding the Services and supersede all prior or contemporaneous agreements between you and agentcensus.

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. No failure or delay by agentcensus in exercising any right or remedy under these Terms shall constitute a waiver thereof.

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is null and void. We may assign or transfer our rights and obligations under these Terms to any affiliate or successor in interest without notice.

You agree to comply with all applicable export and re-export control laws, trade sanctions, and customs regulations, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce. You represent and warrant that you are not located in an embargoed country or listed on any U.S. government list of prohibited or restricted parties.
